To: President, The Stock Exchange of Thailand PTT Global Chemical Public Company Limited ("PTTGC") would like to inform you that on March 15, 2013 at the board meeting No. 3/2556, the Board of Directors of PTTGC had passed the resolutions to approve a joint venture in Auria BioChemicals Company Limited ("Auria BioChemical") between PTTGC and Myriant Corporation ("Myriant") (PTTGC holds 47.25% in Myriant via PTT Chemical International Private Limited which is 100% owned by PTTGC). The purpose of this joint venture is to conduct research and development of bio-based chemicals to enhance the Myriant's technology and pave the way towards an investment in a commercial scale production plant in South East Asia. On May 3, 2013, Auria BioChemicals registered in Thailand with registered capital of 90 million Baht which PTTGC holds 54% of total share with an investment of 48.6 million Baht and Myriant holds another 46% of total share. The transaction is not a connected transaction and the transaction size does not require disclosure under the rule, procedures and disclosure of information concerning the acquisition and disposition of assets of listed companies, but this report is in accordance with the disclosure of investment in a joint venture company with a proportion of 10% or more of its paid up capital.
