No. PTTGC FNA 056/2012 1 October 2012 Re PTTGC Group Restructuring To President of The Stock Exchange of Thailand Whereas, the Board of Directors of PTT Global Chemical Public Company Limited ("PTTGC") has approved the restructuring and management of PTTGC's group companies in the Board of Directors' meeting No. 6/2555 dated 22 June 2012 in order to enhance the efficiency in the management of its group companies, increase flexibilities and support its long-term business growth. The Board of Directors of Thai Ethanolamines Co., Ltd. ("EA"), in the Board of Directors' meeting No. 3/2555 dated 27 July 2012, has approved the entire business transfer from EA to TOC Glycol Company Limited ("TOCGC") and the Board of Directors of TOCGC, in the Board of Directors' meeting No. 3/2555 dated 27 July 2012, has approved the taking transfer of the entire business from EA to TOCGC. Both EA and TOCGC are wholly-owned subsidiaries of PTTGC. PTTGC would like to make an announcement that as of 1 October 2012, the entire business transfer from EA to TOCGC is effective under the law and PTTGC will proceed with the dissolution of EA. Such transaction is not considered as a connected transaction and the size of the transaction does not qualify it as a significant transaction in category of acquisition or disposition of assets of the listed company.
